Descrição
- Management of legal and labour due diligence engagements;
- Coordination of the overall due diligence process, from initial screening of deals through delivery of the final due diligence report to the client from a buy- and sell-side, including:
- Preparation and negotiation of fee quotes;
- Preparation and negotiation of engagement letters with client;
- Participation and coordination of internal and external discussions, notably with client, its other advisers and counterparties;
- Ability to ensure there is thorough review of all relevant information provided;
- Coordination of the Q&A process and collation of findings and risks;
- Participation in management presentations and breakout sessions;
- Discussion of due diligence findings with team and other client's advisers;
- Preparation of preliminary and final legal and labour due diligence reports;
- Presentation of the final due diligence report to the client;
- Identify and provide recommendations on how to handle red flags issues to the client, in particular in the context of the envisaged transaction;
- Drafting and negotiation of disclosure and reliance letters.
- To increase overall team efficiency by proactively recommending enhancement tools/actions and leveraging resources - including tech tools - throughout the firm;
- Clear escalation tactics and supporting intra-functional discussions in order to secure smooth progress of the due diligence stage;
- Identify training needs and provide support to the team on a periodic basis;
- Ensure appropriate use of tools and sources of knowledge and review current due diligence process and tools to formulate recommendations to law firm's management team for improvement;
- Building of a market leading legal and labour due diligence team;
- Maintain active communication with partners and clients to manage expectations and ensure client and internal satisfaction;
- Mentor staff members in their professional development and career planning;
- Provide on-the-job performance feedback and periodic performance reviews;
- Review work in accordance with the firm's policies on a timely basis and in a thorough and constructive manner.
Perfil ideal
- Minimum of 6 years of relevant working experience;
- Relevant experience in law firms with legal due diligence experience;
- Exposure to transactions, preferably involving cross border transactions;
- Strong analytical skills complemented by strong business acumen;
- Strong Project Management Skills;
- Strong People Management Skills - Leadership;
- Experience in running multiple projects simultaneously;
- Strong written and verbal communication skills;
- Strong personal impact;
- Highly motivated, self-starter;
- Ability to operate independently and work as part of a team;
- Ability to perform consistently under pressure;
- Proficient in spoken and written English; any added language proficiency in Spanish or French is a plus;
- Strong knowledge and experience in basic Microsoft Office applications (including Excel, PowerPoint and Word).
